The Role
- Advise on Fund Formation & Venture Capital Transactions: Represent sponsors in the formation and structuring of venture capital funds, and advise emerging companies and investors on equity financings, including seed, Series A–C, and growth-stage investments.
- Draft, Review, and Negotiate Fund & Investment Documents: Including limited partnership agreements, subscription agreements, side letters, term sheets, stock purchase agreements, and investor rights agreements.
- Conduct Due Diligence and Support Investment Execution: Assist with structuring, negotiating, and closing fund formations and venture capital transactions, including review of corporate, financial, and capitalization materials.
- Ensure Regulatory and Compliance Alignment: Advise clients on compliance with applicable securities laws, including the Investment Company Act, Investment Advisers Act, and other regulatory frameworks impacting funds and emerging companies.

- 3+ Years Experience
- Corporate Law Experience
The Package
- Up to $275K Base + Sign on Bonus
- Monthly Performance Related Bonus + End of Year Bonus
- 5-10% of all Matters you work on
